Terms and Conditions of Use for EcoSaver Mutual Fund Inc.

Disclaimer: This is a legally binding agreement. Eco Saver Mutual Fund Inc. ("EcoSaver," "we," "us," "our") is a non-stock, non-profit corporation registered with the Philippine Securities and Exchange Commission (SEC). Please read these Terms and Conditions ("Terms") carefully before using our website at ecosaver.earth (the "Site") and our services.

1. Acceptance of Terms

By accessing or using our Site and any services, features, or content offered by EcoSaver (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Site or Services.

2. About EcoSaver: Non-Profit Status and SEC Registration

  • Non-Profit Mission: EcoSaver is a non-profit organization dedicated to planetary stewardship. Our primary purpose is to address climate change, environmental degradation, and social inequality. All funds generated are reinvested into our climate action programs and are not distributed as profit.
  • SEC Registration: Eco Saver Mutual Fund Inc. is a registered non-stock corporation with the Philippine SEC (Company Reg. No.: 2025100222200-18).
  • Critical Notice on Investments: Our current Certificate of Incorporation does not authorize us to solicit investments, sell shares, or offer any form of investment contract to the public. Any financial contribution made to EcoSaver is a donation to support our non-profit mission and is not a financial investment. We do not promise any financial returns, dividends, or profit-sharing. Contributions are made with the intention of supporting environmental and community projects.

3. User Accounts and Eligibility

  • Eligibility: To use certain Services (such as the Eco Tree Bank, EcoSaver Card, or Carbon Footprint Calculator), you may need to create a user account. You must be at least 18 years old, or have parental/guardian consent if you are a minor, to create an account.
  • Account Responsibility: You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
  • Accurate Information: You agree to provide accurate, current, and complete information during the registration process.
  • Account Termination: We reserve the right to suspend or terminate your account at our sole discretion if we believe you have violated these Terms, provided false information, or engaged in harmful or fraudulent activity.

4. Intellectual Property Rights

  • Our Content: All content on this Site, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of EcoSaver or its content suppliers and is protected by Philippine and international intellectual property laws. The names "EcoSaver," "Eco Tree Bank," and related logos are trademarks of Eco Saver Mutual Fund Inc.
  • Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes related to supporting our mission. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, or sell any information or software obtained from the Site without our prior written consent.

5. User-Generated Content

If you submit content to the Site (e.g., comments, stories, photos), you grant EcoSaver a perpetual, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, and display such content for the purposes of furthering our non-profit mission. You are solely responsible for the content you submit and warrant that it does not infringe on any third-party rights.

6. Donations and Financial Contributions

  • Nature of Contributions: All monetary contributions are treated as donations to a non-profit organization. They are not investments and do not confer any ownership interest in EcoSaver or its projects.
  • Use of Funds: Donations will be used to support EcoSaver's general mission and specific programs, such as the Eco Tree Bank, watershed tree-planting, renewable energy projects, and community resilience initiatives, as described on our Site.
  • Refund Policy: Given the charitable nature of our work, donations are typically non-refundable. Refunds will only be considered in exceptional circumstances at the sole discretion of EcoSaver management.

7. The Eco Tree Bank and Carbon Projects

  • Symbolic Nature: Your participation in the Eco Tree Bank, including any "adoption" or "donation" of trees, is a symbolic representation of your support for our reforestation and afforestation efforts. It does not grant you legal ownership, title, or any property rights over any specific physical tree or the land on which it is planted.
  • Project Risks: EcoSaver works with community partners to implement projects. While we strive for the highest success rates, we cannot guarantee the survival, growth, or specific environmental outcomes (including carbon sequestration) of any individual tree or project due to factors beyond our control, such as weather, pests, fires, or community actions.
  • Carbon Credits: Any carbon credits generated from our projects are the property of EcoSaver or its designated project partners and are used to further our non-profit mission and ensure project sustainability. Your donation does not constitute a purchase of carbon credits unless explicitly stated in a separate, specific agreement.

8. Disclaimers and Limitation of Liability

  • Service "As Is": The Site and Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
  • No Warranty: EcoSaver does not warrant that the Site will be uninterrupted, error-free, or free from viruses or other harmful components. We do not warrant the accuracy or completeness of any information on the Site.
  • Limitation of Liability: To the fullest extent permitted by law, EcoSaver, its trustees, officers, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising out of or in any way connected with your use of the Site or Services, even if we have been advised of the possibility of such damages.

9. Indemnification

You agree to indemnify and hold harmless EcoSaver, its trustees, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute arising from these Terms or your use of the Services shall be brought exclusively in the courts of Makati City, Philippines.

11. Changes to the Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. The most current version will be posted on our Site with an updated "Last Updated" date. Your continued use of the Site after any changes constitutes your acceptance of the new Terms.
